End-User License Agreement (EULA)

This End User Licence Agreement (“Agreement”) is a binding agreement between you (“End-User” or “you”) and FozDigital LTD (“Licensor,” “we,” “us,” or “our”). This Agreement governs your use of the PerkLedger mobile application and browser extension, including all related documentation (the “Licensed Application”). The Licensed Application is licensed, not sold, to you.

By downloading, installing, or using the Licensed Application, you (a) acknowledge that you have read and understand this Agreement; (b) represent that you are of legal age to enter into a binding agreement; and (c) accept this Agreement and agree that you are legally bound by its terms.

This Licence Agreement may not provide for usage rules that conflict with the latest Apple Media Services Terms and Conditions or Google Play Terms of Service (collectively, “Usage Rules”). We acknowledge that we have had the opportunity to review the Usage Rules and this Agreement is not in conflict with them.

1. THE APPLICATION

The “Licensed Application” refers to the PerkLedger software, which includes our Mobile App and Browser Extension, designed to help businesses, freelancers, and entrepreneurs build better tech stacks by providing curated insights, verified perks, and a Discovery Rewards programme. It is customised for iOS, Android, and major web browsers (such as Chrome, Firefox, Safari, and Edge).

The Licensed Application allows you to:

• Browse and search our curated directory of business tools and SaaS platforms.
• Access verified perks, exclusive discounts, and extended trials from partner brands.
• Create and manage saved lists of tools and perks.
• Participate in the Discovery Rewards programme (Premium members only).
• Track reward claims and manage your wallet.
• Receive notifications about new perks, rewards, and relevant content.
• Securely create and manage your user account and Premium membership.
• Read expert insights and guides to inform your tool adoption decisions.

2. SCOPE OF LICENCE

2.1. You are granted a non-transferable, non-exclusive, non-sublicensable licence to install and use the Licensed Application on any devices that you own or control, as permitted by the Usage Rules set forth by Apple and Google.

2.2. This licence will also govern any updates, patches, or new versions provided by the Licensor that replace or supplement the original Licensed Application, unless a separate licence is provided for such an update.

2.3. You may not share, sell, rent, lend, lease, or otherwise redistribute the Licensed Application to any third party.

2.4. You may not reverse engineer, decompile, disassemble, or attempt to derive the source code of the Licensed Application or any part thereof, except with our prior written consent or as expressly permitted by applicable law.

2.5. You may not modify, adapt, translate, or create derivative works based on the Licensed Application.

2.6. You may not remove, alter, or obscure any copyright, trademark, or other proprietary notices from the Licensed Application.

2.7. Violations of the obligations mentioned above may be subject to prosecution and damages.

3. TECHNICAL REQUIREMENTS

3.1. The Licensed Application requires:

• Mobile App: iOS 15.0 or higher, Android 11 or higher
• Browser Extension: Latest version of Chrome, Firefox, Safari, or Edge
• Internet Connection: Active internet connection for full functionality
• Account: PerkLedger account (free or Premium) for accessing member features

3.2. We attempt to keep the Licensed Application updated to support new versions of operating systems and browsers, but we do not guarantee compatibility with all devices or grant you the right to claim such updates.

3.3. Certain features, such as Discovery Rewards, require a Premium membership subscription.

4. MAINTENANCE AND SUPPORT

4.1. FozDigital LTD is solely responsible for providing any maintenance and support services for the Licensed Application. You can reach us via the contact details provided in Section 12 of this Agreement.

4.2. You acknowledge that Apple and Google have no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application.

4.3. Support may be provided via email, in-app messaging, or our online help centre. Premium members may receive priority support as described in our main Terms and Conditions.

5. USE OF DATA

5.1. You acknowledge that the Licensor will be able to access and process data related to your use of the Licensed Application, including but not limited to:

• Account information and profile data
• Tool browsing and search history within the app
• Saved lists and preferences
• Discovery Rewards activity and wallet transactions
• Device information and usage analytics
• Push notification preferences and engagement

5.2. Our collection, use, storage, and sharing of such data is subject to our Privacy Policy, available at: https://perkledger.com/policy/privacy-policy/.

5.3. By using the Licensed Application, you consent to such data processing in accordance with our Privacy Policy and applicable data protection laws.

6. USER-GENERATED CONTRIBUTIONS

6.1. The Licensed Application may provide you with the opportunity to create, submit, or post content (“Contributions”), such as:

• Tool reviews and ratings
• Comments on insights or perks
• Saved list names and descriptions
• Feedback and support requests

6.2. You are solely responsible for your Contributions and represent and warrant that they:

• Do not violate any third-party intellectual property rights, privacy rights, or other rights
• Do not violate any applicable laws or regulations
• Do not contain false, misleading, defamatory, or offensive content
• Comply with our Acceptable Use Policy and Prohibited Activities as outlined in our main Terms and Conditions

7. CONTRIBUTION LICENCE

7.1. You retain full ownership of your Contributions. However, by posting Contributions through the Licensed Application, you grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and licence to:

• Host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt (in whole or in part), and distribute such Contributions
• Prepare derivative works of, or incorporate into other works, such Contributions
• Grant and authorise sublicences of the foregoing

7.2. We are not liable for any statements or representations in your Contributions. You expressly agree to exonerate us from any and all responsibility and to refrain from any legal action against us regarding your Contributions.

8. LIABILITY

8.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FOZDIGITAL LTD BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER ARISING OUT OF OR IN ANY WAY RELATED TO YOUR USE OF OR INABILITY TO USE THE LICENSED APPLICATION.

8.2. Our responsibility in the case of violation of obligations shall be limited to intent and gross negligence. In any case, liability shall be limited to foreseeable, contractually typical damages.

8.3. The limitation of liability set forth above shall not apply to injuries to life, limb, or health.

8.4. We take no accountability or responsibility for:

• The accuracy, completeness, or currency of information about tools, perks, or partner brands
• The actions, products, or services of third-party brands or merchants
• User decisions made based on information provided through the Licensed Application
• The availability or terms of Discovery Rewards or partner offers
• Any financial loss related to tool adoption or subscription decisions

9. WARRANTY

9.1. Licensor warrants that the Licensed Application is free of spyware, trojan horses, viruses, or any other malware at the time of your download. Licensor warrants that the Licensed Application works as described in the user documentation.

9.2. NO WARRANTY IS PROVIDED for the Licensed Application that has been unlawfully modified, handled inappropriately, or falsified, or used with inappropriate hardware or software.

9.3. In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify the App Store or Play Store operator, and your purchase price (if any) may be refunded to you. To the maximum extent permitted by applicable law, the App Store or Play Store operator will have no other warranty obligation whatsoever with respect to the Licensed Application.

9.4. Any other warranty claims shall remain unaffected by this provision.

10. PRODUCT CLAIMS

10.1. FozDigital LTD, not the App Store or Play Store, is responsible for addressing any claims by you or any third party relating to the Licensed Application or your possession and/or use of the Licensed Application, including but not limited to:

• (i) product liability claims;
• (ii) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and
• (iii) claims arising under consumer protection, privacy, or similar legislation.

11. LEGAL COMPLIANCE

11.1. You represent and warrant that:

• You are not located in a country that is subject to a UK or EU government embargo, or that has been designated by the UK or EU government as a “terrorist supporting” country;
• You are not listed on any UK or EU government list of prohibited or restricted parties;
• You will comply with all applicable laws and regulations when using the Licensed Application;
• You are at least 18 years of age or have reached the age of majority in your jurisdiction;
• If using the Licensed Application on behalf of a business or organisation, you have the authority to bind that entity to this Agreement.

13. TERMINATION

13.1. The licence is valid until terminated by you or by the Licensor. Your rights under this licence will terminate automatically and without notice from the Licensor if you fail to adhere to any term(s) of this licence.

13.2. Upon termination of the licence, you shall cease all use of the Licensed Application and destroy all copies, full or partial, of the Licensed Application.

13.3. Sections 7 (Contribution Licence), 8 (Liability), 15 (Intellectual Property Rights), 16 (Applicable Law), and 17 (Miscellaneous) shall survive termination of this Agreement.

14. THIRD-PARTY TERMS AND BENEFICIARY

14.1. You must comply with applicable third-party terms of agreement when using the Licensed Application (e.g., if you have a VoIP application, then you must not be in violation of their wireless data service agreement when using the Licensed Application).

14.2. You acknowledge and agree that Apple and its subsidiaries, and Google and its subsidiaries, are third-party beneficiaries of this Agreement, and that, upon your acceptance of the terms and conditions of this Agreement, each of Apple and Google will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.

15. INTELLECTUAL PROPERTY RIGHTS

15.1. In the event of any third-party claim that the Licensed Application or your possession and use of the Licensed Application infringes that third party’s intellectual property rights, FozDigital LTD, not the App Store or Play Store, will be solely responsible for the investigation, defence, settlement, and discharge of any such intellectual property infringement claim to the extent required by this Agreement.

16. APPLICABLE LAW

16.1. This Licence Agreement is governed by the laws of England and Wales, excluding its conflicts of law rules.

16.2. Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

17. MISCELLANEOUS

17.1. If any provision of this Agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions.

17.2. This Agreement constitutes the entire agreement between you and FozDigital LTD regarding the Licensed Application and supersedes all prior or contemporaneous understandings regarding such subject matter.

17.3. No amendment to or modification of this Agreement will be binding unless in writing and signed by the Licensor.

17.4. The Licensor may assign this Agreement or any rights or obligations hereunder, in whole or in part, without your prior written consent. You may not assign this Agreement or any rights or obligations hereunder, in whole or in part.
